These terms govern use of the MCEL website and the framework for MCEL's AI systems, strategy, operations and website services. Governed by Irish law.

1. Agreement to Terms

These Terms of Service (“Terms”) govern your access to and use of the website mcel.ai, operated under the MCEL brand. MCEL is a digital brand of Mega Commercial Enterprises Limited, an Irish-registered company, incorporated under Company Number 726999, with its registered office at 77 Camden Street Lower, Dublin, D02 XE80, Ireland; references to “MCEL”, “we”, “our” or “us” mean Mega Commercial Enterprises Limited. These Terms extend to all related services, content, systems, communications, business reviews, AI-related services, automation solutions, website services and business support provided through or in connection with this website. By accessing the website, contacting MCEL, submitting information, requesting a business review or using our services, you agree to be bound by these Terms. If you do not agree, you should not use this website or our services.

3. Definitions

“Website” means this website and any related pages, forms, content or functionality operated by MCEL.
“Services” means MCEL's AI systems, AI strategy, AI operations, managed AI operations, website and web-app services, business reviews, implementation support and related business support services.
“Client”, “you” or “your” means any individual, company, organisation or representative accessing the website, contacting MCEL, requesting information or using our services.
“Content” means all text, graphics, layouts, designs, documents, service descriptions, website copy and other materials published on the website.
“AI Systems” means AI-enabled tools, assistants, voice agents, customer response systems, automation workflows, content systems, lead-capture systems, knowledge-base systems, integrations or related technology designed, configured, reviewed or supported by MCEL.
“Deliverables” means reports, recommendations, workflows, documentation, configurations, templates, system designs, implementation outputs or other work product provided by MCEL under a written proposal, scope of work, invoice or agreement.
“Third-Party Providers” means external software platforms, AI platforms, hosting, phone, email, CRM, booking, payment, analytics, plugins, APIs, communication tools or other third-party products used in connection with the website or services.

4. Use of the Website

You agree to use this website only for lawful purposes and in accordance with these Terms. You must not:

use the website in any unlawful, misleading, abusive or fraudulent manner;
attempt to gain unauthorised access to MCEL systems, accounts, data or infrastructure;
interfere with website functionality, security, hosting, availability or performance;
submit malicious code, malware, spam, automated requests or harmful material;
scrape, copy, republish or misuse website content without permission;
use the website or services to infringe the rights of MCEL or any third party; or
use the website in a way that could damage the reputation, operations, security or commercial interests of MCEL.

We may restrict, suspend or terminate access where misuse, abuse, security risk, unlawful activity or a violation of these Terms is suspected.

MCEL provides a focused set of services:

E-commerce support is delivered as an application of these systems, not a separate service. Information on this website is provided for general information only and does not create a client relationship, service agreement or professional advisory relationship unless separately confirmed in writing by MCEL. All services are subject to availability, suitability, technical feasibility, third-party platform availability and written confirmation. Nothing on this website is a guarantee of business results, revenue, lead generation, cost savings, operational performance, AI accuracy or any specific outcome.

6. Business Clients

MCEL services are intended for business, professional, commercial and organisational clients unless otherwise agreed in writing. By requesting information, booking a call, requesting a review or engaging MCEL on behalf of a business, you confirm that you have authority to act for that business. If you use this website as an individual consumer, these Terms apply to the maximum extent permitted by law and do not limit any mandatory statutory rights that cannot lawfully be excluded.

7. No Regulated Professional Advice

Website content, business reviews, AI recommendations, automation suggestions and general service information are provided for business information and operational planning only. Unless expressly agreed in writing and legally permitted, MCEL does not provide legal, tax, financial, accounting, investment, insurance, medical, employment, regulatory, compliance or other regulated professional advice. You are responsible for obtaining advice from appropriately qualified professionals where your business, industry, data, customers, employees or legal obligations require it.

8. Service Agreements, Proposals and Scope of Work

Any paid services, implementation work, consulting engagement, AI system setup, managed operations, workshop, audit, review or other project may be subject to a separate written proposal, scope of work, invoice, service agreement or written confirmation. Those written terms may cover scope, deliverables, timelines, responsibilities, fees, payment terms, third-party tools, support, confidentiality, data handling and ownership. If there is a conflict between these website Terms and a specific written agreement, the specific written agreement applies to the relevant service to the extent of that conflict. Unless expressly agreed in writing, any free review, initial consultation, discovery call, estimate or proposal is provided for discussion only and does not oblige MCEL to provide services.

9. Quotes, Pricing and Payment

Any pricing, estimates, proposals or commercial information on this website is informational only unless confirmed in writing by MCEL. We may modify pricing, update offerings, change package structures, refuse projects, pause services where payment is overdue, or discontinue services. Fees, due dates, taxes, deposits, retainers, instalments, refunds, cancellations and late-payment consequences will be set out in the relevant invoice, proposal or agreement.

Unless otherwise stated in writing, fees cover MCEL services only and do not include third-party charges such as subscriptions, usage fees, call charges, hosting, domains, software licences, AI platform costs, API usage, payment-processor fees or app-marketplace fees. You are responsible for all third-party provider payments required to operate the tools, accounts, platforms, phone numbers, hosting or services used in connection with your project unless MCEL expressly agrees otherwise in writing.

10. Client Responsibilities

You are responsible for providing accurate, complete, lawful and timely information required for MCEL to assess, design, configure, support or deliver any service. In particular, you are responsible for:

ensuring you have the right to provide any data, content, credentials, business information, customer information or system access you share with MCEL;
reviewing and approving scope, system logic, workflows, scripts, messages, outputs and configurations before use where applicable;
checking that AI systems, automations and communications are suitable for your business, industry, clients and legal obligations;
maintaining your own accounts, subscriptions, billing, access, passwords, permissions and security;
complying with all laws, regulations, privacy, consumer-protection and employment obligations that apply to your business;
ensuring any AI system or automation is used with appropriate human oversight, monitoring and escalation; and
promptly notifying MCEL of any issue, error, change, unauthorised access or risk that may affect the services.

MCEL is not responsible for delays, errors, losses or compliance issues caused by incomplete or inaccurate information, client delay, lack of approval or access, third-party account issues, unauthorised changes, or misuse of systems after delivery.

11. AI Systems, Automation and Human Review

AI systems and automation can support business operations, but may produce inaccurate, incomplete, delayed or unexpected outputs, and depend on the quality of the information, instructions, data, integrations and third-party platforms used. You acknowledge that AI-generated responses, summaries, classifications, recommendations, call handling, lead routing, customer messages, workflow actions and content drafts may require human review, correction, approval, monitoring and escalation.

Unless expressly agreed in writing, MCEL does not guarantee that any AI system, automation, workflow, integration, voice agent, chatbot, content system, lead-capture system or customer response system will be error-free, uninterrupted, fully autonomous, suitable for all situations, or compliant with every requirement applicable to your business. You are responsible for deciding where AI should and should not be used, and for ensuring appropriate safeguards, disclaimers, escalation paths, consent notices, testing and human oversight are in place.

12. Third-Party Providers, Platforms and Costs

The MCEL website and services may involve or refer to third-party providers, platforms, AI models, phone systems, APIs, plugins, hosting, email, CRM, analytics, booking, payment and communication tools. MCEL is not responsible for third-party pricing, fees or billing; third-party downtime, errors, outages, security incidents, policy, API or model changes, or discontinuation; third-party privacy practices or account decisions; or your failure to maintain active accounts, billing, permissions, phone numbers, domains, email or hosting. You are responsible for reviewing and accepting the terms, policies and pricing of any third-party provider used in connection with your business or project. Where MCEL recommends, configures or integrates a third-party provider, this does not mean MCEL controls it or accepts responsibility for its charges, availability, performance, compliance or security.

13. Testimonials, Case Studies and Results

Any testimonials, case studies, metrics, statistics and outcomes shown on this website are examples that are representative of typical results for the businesses described. They are provided for illustration only and are not a promise or guarantee that you or your business will achieve the same or similar results. Actual results depend on many factors specific to your business, including your data, processes, market, resources and how systems are used. Where a client is named, it is with permission; where a business is described generically, it is a representative example.

14. Communications, Calls and Contact Forms

By contacting MCEL through the website, email, phone, WhatsApp, contact forms, booking links, AI receptionist systems or other channels, you authorise MCEL to respond using the contact details you provide. We may use email, phone, WhatsApp, AI-assisted tools, customer response systems and contact forms to manage enquiries, respond to requests, collect business information, schedule calls and provide service communications. Where calls are handled by an AI receptionist or recorded, notice will be given where required. Please do not submit sensitive, confidential or unnecessary personal data through general website forms unless specifically requested. You may ask us to stop non-essential communications by emailing [email protected]; service-related communications may still be required for active clients or legal, billing or security matters.

15. Privacy and Data Protection

Your use of this website is also governed by our Privacy Policy and Cookie Policy. Where a service involves access to client systems, customer data, call records, CRM data or other personal data, additional data-protection terms or a data processing agreement may be included in a separate written agreement or project scope.

16. Client Data and Data Processing

You are responsible for ensuring you have the lawful right and permissions to provide such information and to permit its use for the relevant service. MCEL may refuse, suspend or limit work where requested processing appears unnecessary, excessive, unlawful, unclear or unsupported by appropriate instructions or safeguards.

During discussions or service delivery you may share business information, processes, documents, workflows, system access or commercial information with MCEL. MCEL will use reasonable efforts to protect confidential information shared for the purpose of assessing, proposing, delivering or improving agreed services, and will not intentionally disclose it except where required to provide services, use agreed third-party providers, comply with legal obligations, protect MCEL's rights, or as authorised by you. Confidentiality does not apply to information that is public, already known without restriction, independently developed, lawfully received elsewhere, approved for disclosure, or required to be disclosed by law. Please avoid sharing sensitive or regulated information that is not required for the relevant service.

18. Intellectual Property

All website content, branding, graphics, text, layouts, service descriptions, templates, methods and designs on this website are owned by or licensed to MCEL unless otherwise stated. You may not reproduce, distribute, modify, republish, sell, licence, copy, scrape or commercially exploit website materials without prior written permission.

You retain ownership of your own business data, client data, documents, brand materials, processes and proprietary information you provide, subject to any rights you grant MCEL to use them to provide services. Ownership of custom deliverables will be governed by the applicable proposal, invoice or agreement. Unless expressly agreed in writing, MCEL retains ownership of its pre-existing materials, methodologies, know-how, reusable templates, prompts and system-design approaches developed independently of any specific client project. Third-party platforms, software, plugins, APIs and AI models remain owned by their providers and subject to their own terms.

19. Website Accuracy and Availability

We make reasonable efforts to keep website information accurate and current, but do not guarantee that content will always be accurate, complete or suitable for your circumstances; that access will always be uninterrupted, secure or error-free; that forms, links, tools or integrations will always work; or that information reflects the most recent service availability, pricing or third-party conditions. Website content is provided for general information only and should not be treated as legal, financial, tax, technical or professional advice.

20. Warranties and Disclaimers

The website and its content are provided on an “as is” and “as available” basis. Except where expressly agreed in writing, MCEL makes no warranty regarding website availability, service outcomes, AI accuracy, automation performance, third-party platform performance, revenue results, lead generation, cost savings, operational improvement or fitness for a particular purpose. Any service warranties, support terms, response times or performance commitments must be expressly stated in a separate written agreement.

21. Limitation of Liability

To the maximum extent permitted by law, MCEL shall not be liable for indirect, incidental, special, punitive or consequential losses, including loss of profits, revenue, opportunity, goodwill or data, business interruption, platform downtime, or third-party provider failure arising from use of this website, our AI systems, automation workflows, third-party tools or related services.

To the maximum extent permitted by law, MCEL's total aggregate liability for any claim arising from a specific paid service shall not exceed the amount actually paid by you to MCEL for that specific service. Where no fee has been paid for the relevant use, MCEL's liability is limited to the maximum extent permitted by law. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (including liability for death or personal injury caused by negligence, or for fraud).

22. Indemnification

You agree to indemnify and hold harmless MCEL, its directors, employees, contractors, affiliates, partners and service providers from claims, liabilities, damages, losses, costs or expenses arising from: your misuse of the website, services, AI systems or third-party platforms; your violation of these Terms or any written agreement; your unlawful activity or breach of law; your infringement of third-party rights; your provision of inaccurate, unlawful or unauthorised data, content, instructions or access; your failure to obtain required consents, permissions or licences; or your business use of any system, output, workflow, content or automation after delivery or approval.

23. Termination and Suspension

We may suspend or terminate access to the website or services where these Terms are violated, payment is overdue, unlawful activity is suspected, security risks arise, third-party provider access is removed, required client information or approval is not provided, or misuse or operational risk occurs. Termination does not affect payment obligations, confidentiality, intellectual property rights, liability limitations, indemnities or other provisions intended to survive.

24. Force Majeure

MCEL shall not be liable for any delay, failure or interruption caused by circumstances beyond its reasonable control, including natural events, war, terrorism, civil unrest, labour disputes, government action, legal restrictions, power failure, internet or telecoms disruption, hosting failure, cyber incidents, third-party provider outages, platform or API changes, or payment-processor failure.

25. Governing Law and Jurisdiction

These Terms are governed by and interpreted in accordance with the laws of Ireland. Any disputes arising from these Terms, the website or use of the services are subject to the exclusive jurisdiction of the Irish courts, unless otherwise required by applicable law or expressly agreed in writing.

26. Changes to These Terms

We may update these Terms from time to time to reflect changes in our services, operations, legal requirements, third-party conditions or website functionality. The latest version will always be published on this page with an updated effective date. Continued use of the website or services after an update constitutes acceptance of the revised Terms.

27. Severability

If any provision of these Terms is found to be invalid, unlawful or unenforceable, the remaining provisions continue in full force and effect, and the invalid provision will be interpreted or replaced to achieve the closest lawful effect to the original intention.

28. Entire Agreement

These Terms, together with any applicable Privacy Policy, Cookie Policy, proposal, invoice, written agreement, scope of work or written confirmation, form the agreement between you and MCEL regarding the relevant website use or service. No informal statement, website description, call, message or marketing material overrides a specific written agreement confirmed by MCEL.
